1.1 These Terms of Service (“Terms”) are a contract between you and Quantafin Lab LLC, a Wyoming limited liability company (“Quantafin”, “we”, “us”), for your use of the BlokDuck Website at blokduck.com and our related services.
1.2 The software is licensed separately under our End User Licence Agreement (the “EULA”). Our handling of personal information is described in our Privacy Policy, and processing we carry out on your behalf is governed by our Data Processing Addendum. If these Terms conflict with the EULA about the software, the EULA prevails.
1.3 By using the Website or our services, or by buying a plan or licence key, you agree to these Terms. If you are agreeing for an organisation, you confirm you are authorised to bind it.
2.1 We provide the Website, the ability to download the software, the issue and management of licence keys, paid plans, and support. The software itself runs on your own device or infrastructure; we do not host or process your documents.
2.2 We may add, change or retire features of the Website and services over time. We will not materially reduce a paid plan you are currently paying for without telling you first.
3.1 You must use the Website and services lawfully and only for their intended purpose. You must not: break the law or infringe anyone’s rights; attempt to gain unauthorised access to our systems or another person’s data; disrupt or overload the service; scrape or resell the Website; misrepresent your identity or affiliation; or use the service to process content you are not entitled to process.
3.2 You are responsible for the documents you choose to process and for reviewing any protected copy before you share it.
4.1 Paid plans and their prices are described on our Pricing page. Prices are in the currency shown and exclude any taxes, which we add where required.
4.2 Plans renew as described at purchase. You can cancel at any time and there is no notice period; cancellation stops future renewals and does not give a refund for a period already begun.
4.3 Except where the law requires otherwise or we agree in writing, fees already paid are non-refundable. Voluntary donations are gifts, are not payment for a plan or any allowance, and are non-refundable.
4.4 If you are a consumer, nothing in these Terms affects statutory rights you have under the law of your country of residence.
5.1 The Website, its content, the BlokDuck name and logo, and the software and its source code are owned by us or our licensors and are protected by intellectual-property laws. These Terms give you no right to them except as expressly stated, and the software is licensed only under the EULA.
5.2 You keep all rights in your own documents and content.
The Website and services rely on third parties, including Stripe for payments and public content-delivery networks for fonts and browser libraries. Their terms and privacy policies apply to their part of the service, and we are not responsible for third-party sites we link to.
The Website and services are provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim all implied warranties, including fitness for a particular purpose and non-infringement. We do not warrant that the Website or services will be uninterrupted, error-free or secure, or that the software will identify every sensitive value — no detection method does.
To the maximum extent permitted by law, we are not liable for indirect, incidental, special or consequential losses, lost profits, lost data or business interruption. Our total liability arising out of or relating to these Terms is limited as set out in the EULA. Nothing here excludes liability that cannot lawfully be excluded.
To the extent permitted by law, you will defend, indemnify and hold us harmless against third-party claims arising from your breach of these Terms or your unlawful use of the Website or services.
We may suspend or end your access to the Website or services if you materially breach these Terms or the EULA, or if we are required to by law. You may stop using the service at any time. Provisions that by their nature should survive termination will survive.
These Terms are governed by the laws of the State of Wyoming, U.S.A., and the courts of Wyoming have jurisdiction, as set out in the EULA. If you are a consumer, you may also have the right to bring proceedings in your country of residence.
We may update these Terms from time to time. We will post the updated version with a new effective date and, where changes are material, give reasonable notice. Continued use after the effective date means you accept the updated Terms.
